Terms of Service

1. Acceptance

By signing up for or using bhildOs (the "Service"), you agree to these Terms of Service and our Privacy Policy. If you are signing up on behalf of a company, you represent that you are authorized to bind that company.

2. The Service

bhildOs is a software-as-a-service platform that provides an AI voice receptionist, lead capture, knowledge base, appointment scheduling, estimate workflow, and related tools for construction services businesses. The Service is provided on an "as is" and "as available" basis and may evolve over time.

3. Accounts

You must keep your account credentials confidential. You are responsible for any activity under your account, including activity by team members you invite. Notify us at security@bhildos.com of any suspected unauthorized access.

4. Acceptable use

You agree not to:

• Use the Service to place calls or send messages that violate the Telephone Consumer Protection Act, CAN-SPAM, or the FTC Telemarketing Sales Rule — including calling numbers on the National Do-Not-Call Registry without consent.
• Use the Service to record calls in violation of any applicable recording-consent law.
• Upload, transmit, or process content that is illegal, abusive, or infringes third-party rights.
• Reverse-engineer, decompile, or extract source code from the Service except as expressly permitted by law.
• Bypass rate limits, security controls, or impersonate other users.
• Use the Service to send spam, malware, or material soliciting personal information from minors.

5. Fees and billing

Subscription fees are billed through Stripe in advance on a monthly or annual basis. Usage-based charges (e.g., overage call fees, extra phone numbers, outbound calling) are billed in arrears based on metered usage. Fees are non-refundable except as required by law.

6. Free trials

bhildOs offers a 14-day free trial for new accounts. If you do not cancel before the trial ends, your card will be charged for the selected plan automatically. You can cancel at any time from your billing portal.

7. Customer content

You retain ownership of all data you submit to the Service, including call recordings, transcripts, knowledge base entries, contacts, and estimates ("Customer Content"). You grant bhildOs a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide the Service. Your Customer Content is NOT used to train any general-purpose AI model.

8. Third-party services

The Service interoperates with third-party services (Stripe, Twilio, Vapi, Anthropic, Google, HubSpot, Meta, Microsoft, Resend, Supabase, Inngest). Your use of those services is governed by their respective terms. We are not responsible for third-party service availability or content.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses to protect its own (at least reasonable care), and will use confidential information only to perform under these Terms.

10. Termination

Either party may terminate the Service at any time. You can cancel from your billing portal or by emailing support@bhildos.com. We may suspend or terminate accounts that violate these Terms or that pose a security risk. On termination you may export your data for 30 days; after 90 days your data may be permanently deleted from active systems (backups follow our standard retention schedule).

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI RECEPTIONIST'S OUTPUTS WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR REVIEWING THE AI'S OUTPUTS BEFORE ACTING ON THEM.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BHILD INC.'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

13. Indemnification

You will defend, indemnify, and hold bhild Inc. harmless from any third-party claims arising out of (a) your Customer Content, (b) your violation of these Terms or applicable law (including TCPA and recording-consent laws), or (c) your misuse of the Service.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Exclusive venue for any dispute is the state and federal courts located in Alachua County, Florida.

15. Changes

We may update these Terms from time to time. Material changes will be notified via email to account owners. Continued use after a change constitutes acceptance.
